Minieye Technology Co., Ltd. Class H ( (HK:2431) ) has provided an update.
Minieye Technology has agreed to acquire a 50% equity interest in Tongtu Technology for a total consideration of RMB25 million, to be paid through RMB20 million in newly issued shares and RMB5 million in cash. Upon completion, Tongtu Technology will become a non-wholly owned subsidiary, with Minieye holding half of its registered capital.
The deal qualifies as a share transaction under Hong Kong listing rules, triggering reporting and announcement requirements but exempting the company from issuing a circular or seeking shareholder approval. As completion remains subject to conditions in the sale and purchase agreement, the acquisition may not proceed, and investors are urged to exercise caution when trading Minieye’s shares.
